These Terms of Service ("Terms") govern your use of Aeirex Trade AI (the "Service" or "Platform") operated by Aeirex Technologies LLP ("Aeirex", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. Nature Of The Platform
Aeirex Trade is an independent B2B marketplace and lead-generation platform that connects buyers and suppliers. Aeirex Trade does not manufacture, sell, purchase, store, inspect, ship, guarantee, endorse, or take ownership of any products or services listed on the Platform. Aeirex Trade is not a buyer, seller, distributor, exporter, importer, logistics provider, payment processor, escrow service, or party to any transaction between users. All transactions are conducted directly between buyers and suppliers under their own terms.
Aeirex Trade operates as an "intermediary" within the meaning of the Information Technology Act, 2000 and the rules made thereunder.
2. No Payment Handling
- Aeirex Trade does not collect, receive, hold, process, or transfer payments between buyers and suppliers.
- Aeirex Trade does not provide escrow services.
- Payments are made directly between buyers and suppliers using their own agreed methods.
- Aeirex Trade is not responsible for payment disputes, chargebacks, non-payment, fraud, delivery issues, or product quality issues.
The only payments Aeirex Trade collects are subscription and add-on service fees paid by users to Aeirex Trade directly for use of the Platform.
3. Eligibility
You must be at least 18 years old and authorised to act on behalf of any business you represent.
4. Accounts And Roles
Buyers and suppliers register separate accounts. You are responsible for all activity under your account and for keeping credentials secure.
5. Supplier Responsibilities
- You own or have all necessary rights to the content, images, trademarks, and product information you upload.
- All product, pricing, certification, and company information you provide is accurate, current, and not misleading.
- You comply with all applicable laws, including GST, IEC, export control, sanctions, labelling, and quality regulations.
- You honour quotations submitted via the Platform and disclose material terms before order acceptance.
- You indemnify Aeirex Trade against any claim arising from your products, services, listings, conduct, or breach of these Terms.
6. Buyer Responsibilities
- You conduct your own due diligence on suppliers, products, samples, and commercial terms before transacting.
- You are solely responsible for evaluating suppliers and the suitability of their offerings for your use case.
- You acknowledge that Aeirex Trade does not guarantee suppliers, products, pricing, delivery, or transaction outcomes.
- You post genuine sourcing requests with accurate quantity, destination, and timing.
- You do not use supplier contact information for spam or unrelated purposes.
7. Verified Supplier Status
Verified Supplier status indicates that specific business documents were reviewed at the time of verification. Verification is not a guarantee of product quality, business legitimacy, financial stability, delivery performance, future conduct, or transaction safety. See our Verification Policy for details.
8. Memberships And Payments To Aeirex
Supplier memberships and add-on services are billed via our payment processor in advance on a monthly or annual basis. Refunds are governed by our Refund Policy.
9. Intellectual Property
The Service, including software, brand, and AI outputs, is owned by Aeirex Technologies LLP. You retain ownership of content you upload but grant Aeirex a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and process it to operate, promote, and improve the Platform. 10. Acceptable Use
You may not scrape the Platform, reverse engineer it, abuse other users, post false or misleading content, infringe third-party rights, or use the Service for unlawful purposes. Aeirex Trade may suspend, remove, or permanently ban accounts that violate these Terms.
11. Complaints, Takedown, And Termination
Reports of fraud, fake products, copyright or trademark infringement, misleading listings, or business misconduct may be submitted under our Complaint & Grievance Policy. Aeirex Trade reserves the right, in its sole discretion, to investigate, suspend, remove listings, or terminate accounts at any time, with or without notice.
12. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied. Aeirex Trade is not a party to any commercial transaction between buyers and suppliers and does not guarantee outcomes, product quality, supplier conduct, delivery, payment, or compliance.
13. Limitation Of Liability
To the maximum extent permitted by law, Aeirex Trade's total liability for any claim arising out of or relating to the Service shall not exceed the amount paid by the user to Aeirex Trade during the previous 12 months. In no event shall Aeirex Trade be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility.
14. Indemnification
You agree to defend, indemnify, and hold harmless Aeirex Technologies LLP, its affiliates, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your content or listings; (c) your transactions with other users; (d) your violation of these Terms; or (e) your violation of any law or third-party right.
15. Force Majeure
Aeirex Trade is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, governmental action, pandemic, natural disasters, internet or power outages, or third-party service failures.
16. Governing Law
These Terms are governed by the laws of India.
17. Arbitration And Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. Failing resolution within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Aeirex. The seat and venue of arbitration shall be Bengaluru, India. The language of arbitration shall be English. Subject to arbitration, the courts at Bengaluru, India shall have exclusive jurisdiction.
18. Changes
We may update these Terms periodically. Material changes will be notified by email or in-app. Continued use of the Service after changes take effect constitutes acceptance.
